Welcome to EDC Web Design. By accessing our website or using our services, you agree to be bound by these Terms of Service. Please read them carefully before engaging our services.

1. Services Provided

EDC Web Design provides the following services:

• Custom Web Design: Single-page and multi-page website design and development
• Website Redesigns: Modernization and rebuilding of existing websites
• E-commerce Solutions: Online store setup and configuration
• SEO Optimization: Search engine optimization services
• Hosting Services: Website hosting as part of our care plans
• Maintenance Plans: Ongoing website updates, security, and support

2. Payment Terms

Payment terms vary by service:

• Website Projects: A 50% deposit is required before work begins. The remaining 50% is due upon project completion and before website launch.
• Monthly Care Plans: Billed monthly in advance. The first month's payment is due upon enrollment.
• Additional Services: Custom quotes provided on a per-project basis with payment terms agreed upon in writing.

We accept payment via credit card, debit card, and ACH transfer through our secure payment processor (Stripe). All prices are in US dollars.

3. Refund Policy

Our refund policy is as follows:

• Before Design Phase: If you cancel before any design work has begun, you will receive a full refund of your deposit.
• During Design Phase: If you cancel after design work has started but before development, you may receive a partial refund based on work completed.
• After Development Begins: No refunds are available once development has started.
• Care Plans: Monthly care plans may be cancelled at any time with 30 days notice. No refunds for partial months.

4. Intellectual Property Rights

Upon full payment:

• You will own all custom design work created specifically for your project
• You will own all custom content and copy provided by you or written specifically for your website
• Third-party components, plugins, fonts, and images remain subject to their respective licenses
• EDC Web Design retains the right to display completed work in our portfolio unless otherwise agreed

Until full payment is received, EDC Web Design retains all rights to the work product.

5. Client Responsibilities

To ensure successful project completion, clients agree to:

• Content Delivery: Provide all text, images, logos, and other content in a timely manner
• Feedback: Provide constructive feedback within 5 business days of receiving designs or drafts
• Approvals: Review and approve designs before development proceeds
• Communication: Respond to emails and calls within reasonable timeframes
• Access: Provide necessary access to existing hosting, domain registrars, or other accounts as needed

Projects may be delayed or placed on hold if client responsibilities are not met. Projects inactive for more than 60 days may be considered complete, with remaining balance due.

6. Project Timeline

We provide estimated timelines for all projects. These estimates assume timely client feedback and content delivery. Actual completion times may vary based on project complexity, revision requests, and client responsiveness. We are not liable for delays caused by circumstances beyond our control.

7. Warranty Disclaimer

Our services are provided "as is" without warranty of any kind, either express or implied. We do not guarantee that your website will achieve specific business results, traffic levels, or search engine rankings. While we follow industry best practices, we cannot guarantee uninterrupted or error-free website operation.

8. Limitation of Liability

To the maximum extent permitted by law, EDC Web Design shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill. Our total liability for any claim arising from our services shall not exceed the amount paid by you for the specific service giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless EDC Web Design from any claims, damages, losses, or expenses arising from your use of our services, your violation of these terms, or your violation of any rights of a third party, including intellectual property rights.

10. Termination

Either party may terminate services:

• By Client: You may terminate at any time by providing written notice. Refund terms apply as outlined above.
• By EDC Web Design: We may terminate if payment is not received, if terms are violated, or if continued service becomes impractical. In such cases, we will provide reasonable notice and refund any prepaid amounts for undelivered services.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these terms or our services shall be resolved in the state or federal courts located in California.

12. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the modified terms.
